August 27 2009 - The District Court approves an extended period of investigation
As earlier communicated in the press release below (Swedish Competitive Authority requires prolonged investigation), the District Court today granted its approval of an extended period of investigation by another month. The prolonged investigation is expected to be completed no later than October 1, 2009.

Swedish Competition Authority requires prolonged investigation
As earlier communicated in a press release dated March 25, 2009, RNB RETAIL AND BRANDS has entered into an agreement with Åhléns AB to divest RNB's stores at NK Stockholm and NK Gothenburg. The Swedish Competition Authority has today submitted an application to the District Court requesting an extension until October 1, 2009 concerning its opinion on Åhléns AB's offer for RNB's operations at NK in Stockholm and Gothenburg.

March 25 2009 – RNB divests operations at NK Stockholm and NK Gothenburg
RNB RETAIL AND BRANDS has entered into an agreement with Åhléns AB to divest RNB’s stores at NK Stockholm and NK Gothenburg. The divestment provides RNB with the possibility to focus time and resources on the remaining core operations – Polarn O. Pyret, JC and Brothers & Sisters – while considerably strengthening the company’s financial position. The purchase consideration amounts to SEK 440 M on a debt-free basis and is to be paid in cash. The divestment is conditional upon approval of the competition authorities and of an Extraordinary General Meeting in RNB, which has been convened to be held on April 15, 2009.

February 6, 2009 – JC, Brothers and Sisters removes products made of down
As a consequence of information given concerning the cruel plucking of down from living geese in the investigative TV program Kalla Fakta the other day RNB RETAIL AND BRANDS have analysed the assortment of down both for own- and external brands.

Polarn O. Pyret do not have any products made of down in its assortment.

During the Autumn 2008 and Winter 2009, JC have had a down jacket under private label. We have received information from our supplier that the down used in the jacket comes from not living animals. However with respect for the great uncertainty presented in the program regarding the valid ness for these guarantees and certificates we have decided to terminate the selling of the product until we receive reliable guarantees of origin and methods of production.

Brothers and Sisters do not have any products made of down under private label in the assortment and have decided to refrain from the selling of down products until reliable guarantees regarding country of origin and method of production is available.

The business area Departments Stores today have a number of external brands that do sell products made of down. We have started to contact our suppliers in this matter and specifically to receive a validation of origin and insight into production. 
 

February 2, 2009 - Production of down – Kalla Fakta
On Sunday, February 1, the investigative TV program Kalla Fakta contained a feature depicting the plucking of down from living geese for the manufacture of products made of down. The plucking of down from living animals, which entails very painful treatment of the geese, is not permissible in Europe.

During the autumn, JC sold down jackets that were manufactured in China. Due to this, we have contacted the supplier concerned and asked where the down for these products originated. According to the information received from our supplier, the down used in JC’s jackets is produced in China and comes from animals that had been destroyed prior to being used in meat production.

With respect to our external brands, we will urge suppliers to ascertain the origins of any down contents and how the down was produced.

The treatment of animals in the manner depicted in the Kalla Fakta program is not compatible with RNB’s animal care policy (read more under Our Responsibility) and we will be following up any new information on the matter with our suppliers.


January 28 2009 – AGM in RNB and new board members elected
On Wednesday 28 January RNB RETAIL AND BRANDS held its Annual General Meeting. The AGM adopted the nominated new Members of the Board Lilian Fossum, CFO and Executive Vice President of Axel Johnson AB, Nils Vinberg, Deputy Chairman of Björn Borg AB and John Wallmark, President of Spartoi AB. The new elected members will replace Per Törnberg, Hans Risberg and Eva Kempe Forsberg which have declined re-election.

November 18 2008 - All over printed windfleece overall, spring 2008
After an incident where a baby was close to suffocation in our wind fleece overall, Polarn O. Pyret have today informed the Swedish Consumer Agency according to demands in the Swedish Product Safety Law. The incident happened when the baby was left unattended in a car, strapped to his car seat.

The Swedish Consumer Agency advice Polarn O. Pyret to keep the product in our stores while an investigation is being carried out.

October 29, 2008 - Sustainability report
RNB RETAIL AND BRANDS presents its first sustainability report in issues concerning Quality, Environment, CSR Corporate Social Responsibility, Ethics & Social commitment and Employees. The report is based on the Swedish activities covering the calendar year of 2007. The insight and commitment has been well established within RNB RETAIL AND BRANDS for these issues, but not always documented in forms of Group-wide policy documents, strategies and goals. Sustainable fashion 2007 is the first step for RNB RETAIL AND BRANDS to report success and misfortunes in sustainability issues on a yearly basis.

August 22, 2008 – Change of round lot in RNB RETAIL AND BRANDS share
OMX Nordic stock exchange has decided upon an increase in RNB RETAIL AND BRANDS round lot from 200 shares to 1 000 shares. The change will be implemented from August 26, 2008.

Rights issue in RNB RETAIL AND BRANDS AB

• Rights issue of shares in RNB RETAIL AND BRANDS AB (”RNB”) with the intention of raising approximately SEK 350 million before transaction costs
• Subscription price and exchange ratio will be announced through a press release from RNB on August 21, 2008
• Subscription period from September 2, 2008 until and including September 18, 2008
• The rights issue is subject to approval at an Extraordinary Shareholders’ Meeting to be held on August 25, 2008
• Declarations of intentions to subscribe to 100 percent of the rights issue have been received

On June 18, 2008 it was stated in the interim report for the period September 2007 – May 2008 that the development within JC and J-Store has been weak and the operating performances at Illum in Copenhagen and Steen & Ström in Oslo have not been satisfactory. Due to the negative development the Company has reached an inadequate leverage level. In order to strengthen the company’s financial position and create conditions for future aggressive action, the Board of Directors of RNB today resolved on a rights issue with the intention of raising approximately SEK 350 million before transaction costs. The new issue resolution by the Board of Directors is subject to approval at an Extraordinary Shareholders’ Meeting to be held on August 25, 2008.

Regarding recent news in Australian media concerning RNB RETAIL AND BRANDS and mulesing ban.

We have not been persuaded by any animal rights group to boycott Australian wool.
We have been listening to what several organisations, animal welfare expertise, media and companies from many parts of the world have had to say in the matter and our conclusion is not to boycott any country.
RNB RETAIL AND BRANDS thoroughly disapproves of all types of unethical and cruel treatment of animals at every level of our purchasing chain. Accordingly, we are completely opposed to traditional and routine use of mulesing without pain relief in order to prevent flystrike on merino sheep in Australia.
RNB RETAIL AND BRANDS demands that the Australian wool industry comply with its commitment to phase out mulesing by 2010. Until 2010, RNB RETAIL AND BRANDS will steer the purchasing of wool required for its own production to suppliers that can offer alternatives that are currently superior to mulesing without pain relief.


The compulsory redemption process has been completed 
The compulsory redemption process for the 1.5% of the shares outstanding in JC has now been completed in the arbitration board in Stockholm. The ruling becomes legally effective at the end of April and the average share price for JC shares outstanding is set at SEK 46.98. Payment will be made during May.

Profit warning and change in management within JC, J-store
On January 16, through a press release, RNB RETAIL AND BRANDS announced weaker-than-expected performance within the company’s store concepts JC and J-Store. The JC and J-Store concepts showed a weaker-than-expected sales trend during the autumn, with sales declining by approximately 10% compared with the year-earlier period. President and CEO of RNB RETAIL AND BRANDS, Mikael Solberg, has been appointed acting President of JC, succeeding Cecilia Tufvesson Marlow, who has decided to leave the company. 
The company estimates that the negative impact of the declining sales on earnings amounted to approximately SEK 20 M.
RNB RETAIL AND BRANDS’ net sales in the first quarter of the 2007/2008 fiscal year amounted to SEK 923.7 M (889.8) and operating profit for the quarter amounted to SEK 81.5 M (86.8).
